Last verified against official sources:
Washington LLCs file an annual report with the Secretary of State every year to confirm or update details like the registered agent, principal office and governors. Filing it keeps the LLC active.

| Fee | $70 for an LLC. If your LLC is already listed as delinquent, a $25 delinquency fee is added, for $95 total.[1] |
|---|---|
| Due date | The last day of the month the LLC was first formed or registered in Washington. You can file up to 180 days early; filing early doesn't move the due date.[2] |
| No notice? | You still have to file. The state says not receiving a reminder doesn't excuse a missed report.[2] |
| If late | Missing the due date puts the LLC in delinquent status (see the $25 delinquency fee above). If the report still isn't filed, the state sends an administrative dissolution notice about 120 days after the due date.[3] |
| Fixing it | Reinstatement for a dissolved LLC is $140 plus every annual report fee you missed.[1] |
| Where to file | Online in the Secretary of State's Corporations and Charities Filing System (CCFS), using Express Annual Report or your CCFS account.[3] |
Lookalike letters the state has warned about
- The WA Attorney General warned about letters that use the state seal and your UBI number, ask for payment to "State of Washington Business Entities," and charge more than $200. Clues included a California return address and a QR code that led to a .org site instead of a .gov one.[4]
- The Secretary of State's Corporations and Charities Division doesn't send text messages. A text asking you to pay for a filing is from a third party.[2]
- You don't need a third-party service to file with the Secretary of State. Its official reminders come by email about 60 days before your due date, or by mail 45–60 days before if you haven't chosen email.[3]
